ABL Diagnostics selected to acquire TEXCELL operations

ABL Diagnostics (Euronext Paris:ABLD), a provider of molecular biology tests, announced on Thursday that it has been selected by the Évry Commercial Court to acquire the assets and business operations of TEXCELL, supporting the continuity of its activities and expanding the group's capabilities in molecular diagnostics, virology and infectious diseases.

The acquisition includes TEXCELL's strategic assets and operations, transferred commercial contracts, continued operations at the Genopole site in Évry-Courcouronnes, and the transfer of 29 employees. ABL Diagnostics will assume accrued employee rights related to the transferred staff.

TEXCELL, which originated from the Institut Pasteur scientific ecosystem, has expertise in viral safety, biosafety, genomic analysis, immunological monitoring and biotechnology services. According to publicly available information, TEXCELL France generated revenue of approximately EUR5.4m in 2024, following EUR6.2m in 2023 and EUR7.5m in 2022.

The transaction has an estimated total economic value of approximately EUR2.9m, including asset and inventory purchases, lease financing obligations, industrial and technological investments, and additional working capital. The acquisition will be financed from ABL Diagnostics' existing financial resources.

The company said the acquisition complements its UltraGene, DeepChek and Nadis platforms, strengthens its strategic relationship with the Institut Pasteur, and establishes an operational presence at Genopole Évry-Courcouronnes. Subject to completing the required legal and administrative formalities, ABL Diagnostics plans to integrate the acquired activities into its strategic roadmap and fiscal 2026 objectives.
