BSF Enterprise plc (LON:BSFA), a biotechnology company focused on tissue engineering, lab-grown materials and bioactive solutions, said on Tuesday that it has signed Heads of Terms with SCHAKAU Managementberatung GmbH for the worldwide exclusive commercialisation and supply of its bioactive peptide ETSYL (INCI: palmitoyl pentapeptide-87) across cosmetics, skincare, dermocosmetics and luxury beauty.
The agreement grants SCHAKAU exclusive global commercialisation, distribution and licensing rights for an initial 10-year term, conditional on agreed annual commercial volume targets following a 12-month ramp-up period. Global market exclusivity, BSF's 100% intellectual property ownership and confidentiality provisions are legally binding upon signature.
SCHAKAU has allocated an estimated EUR300,000 market development budget for clinical claim substantiation, regulatory compliance, brand creation and international distribution capital. It will also bear all downstream expenses for consumer product notifications, safety reports, responsible-person requirements and clinical efficacy testing.
BSF will supply ETSYL under a structured, dose-based volume schedule, generating manufacturing revenue for its wholly owned subsidiary, 3D Bio-tissues Ltd, with initial raw-material revenues expected during the 12-month product compilation phase ahead of retail launch.
Net licensing income from third-party brand integrations will be divided equally between BSF and SCHAKAU after external compliance and international patent costs, while BSF retains ownership of all patents, trade secrets, manufacturing know-how and underlying ETSYL technology.
ETSYL was originally developed by 3D Bio-tissues to accelerate cell growth and stimulate natural collagen synthesis in tissue scaffolding for lab-grown products, where it demonstrated high biological activity in extracellular matrix production. BSF identified the peptide as a potential high-margin commercial application in premium anti-ageing cosmetics, enabling it to supply the skincare market without diverting capital from its core tissue engineering and leather activities.
SCHAKAU specialises in luxury positioning, brand scaling and industrial partnerships. The company will deploy ETSYL as the core active ingredient in its ultra-luxury HANDS OF GOD skincare brand, including its E-L-Y-S-Y-L serum.
The partnership will combine direct-to-consumer sales through HANDS OF GOD with B2B ingredient licensing to global cosmetic brand partners.
