13 June 2012 - Jazz Pharmaceuticals plc (Nasdaq: JAZZ), a specialty biopharmaceutical company, has announced today that it has completed the acquisition of EUSA Pharma, a privately-held, specialty pharmaceutical company with a commercial presence in the United States and the EU, and a global distribution network.

This deal will bring a new specialty product to the company's United States product range in the form of Erwinaze(tm), a treatment for patients with acute lymphoblastic leukemia

The transaction is valued at USD680m in cash, which represents a base price of USD650m and around USD30m of adjustments for EUSA's working capital, cash and certain liabilities, and a potential USD50m milestone payable based upon Erwinaze achieving a specified United States net sales target in 2013.
